Celsius Re is my investment advisory vehicle. My clients have been investment banks, private equity firms, sovereign wealth funds, family offices, and pension funds. My role is to assist these firms with Re/Insurance buy side M&A. What began as ad hoc advisory has morphed into a business. Celsius Re has acted as an advisor to over $2 billion of Re/Insurance transaction value M&A. Unlike a typical M&A advisory, my firm embeds itself within the firm that has engaged us. We work with our client side by side and typically onsite through the transactions conclusion. We serve as the engaged firms experience re/insurance market professional for hire. We serve the engaged firm from preliminary through to confirmatory due diligence. We have brought value by both flushing out issues by working with our client and sell side in finding solutions to those issues. We have also brought transaction creative value by finding solutions to potential transactional roadblocks. We have been involved in business model creation, co-investor presentations and third party professional (actuarial, governance, legal) appointment. to the transaction who will bring value added. We have seen our role grow by transaction. We are now actively involved in confirmatory due diligence, transaction terms as well as reps and warranties. Our resolve is to be constructive and helpful. Not hinder the closing process. Celsius Re is not a buy side investors legal, actuarial, audit, governance, asset management or investment banking advisory. Those roles and the legal implications of those roles are best served with firms of scale and reputation. We instead focuses on assisting the client on the optimal usage of the advisory services that it has deployed.
