EAM Solar is a Norwegian public limited liability company (ASA), established under Norwegian law and with its tax residency in Norway. The company was listed at Oslo Axess in March 2013 under the symbol EAM. EAM Solar ASA is an investment Company that acquires and operates solar power plants for long-term ownership. The Company’s objective is to generate value through acquiring, operating and managing solar power plants according to best practice operational performance and risk management. EAM Solar acquires solar power plants that are already in operation. The Company may negotiate to acquire projects under planning and/or construction subject to financial close after commencement of commercial operations of the power plant. EAM Solar is a pure investment Company without employees. EAM Solar Park Management (EAM SPM), a subsidiary of Energeia Asset Management, conducts the daily management of the Company as well as developing the Company’s long-term strategy. EAM Solar Park Management AS is an operational management company owned by Energeia Asset Management AS. EAM SPM’s management activities may be separated into two main phases: Investment phase • Searching and screening for relevant power plants available for acquisition • Valuation, due diligence and risk assessment of solar power plants • Prepare and advice on investment decision according to EAM Solar’s investment criteria • Conduct transaction execution Operational phase • Optimize financing structure to maximize risk-adjusted returns • Active commercial and technical management of power plants to improve long-term profits and reduce operational risks.
