Northbridge Capital Partners (“NCP”) is a private equity fund formed by an accomplished group of business executives and entrepreneurs, which co-invests with motivated employees seeking to complete a management buyout (“MBO”) of the business they presently manage. NCP’s preferred market is profitable manufacturing, processing, wholesale, and distribution businesses located within a two drive of Toronto, Ontario. The Fund will invest up to $1 million of patient equity capital to assist managers to complete an MBO. Management is expected to demonstrate their commitment to the business by investing a significant amount toward the purchase price. NCP works with four distinct groups in fulfilling its mandate: • Managers seeking to complete an MBO. NCP assists with deal structuring, negotiation strategy, valuation, and arranging other sources of financing as well as investing its own capital in either minority or majority control positions. • Owners considering their succession options and whether or not an MBO or MBI makes sense for their business. Many owners that are holding back on a sale to management as they don’t want to finance the whole deal. NCP’s involvement enables the vendor to get more cash out on closing and provides greater confidence that the business will prosper. • Seasoned business managers and executives seeking a new challenge of investing in and managing a business in an industry where their expertise will add significant value (Management Buy-in "MBI"). NCP’s involvement enables these individuals to consider larger sized transactions. • Financial advisors such as lawyers, accountants and finance professionals who assist their clients to complete MBO’s and MBI’s. NCP’s commitment can be the catalyst to the completion of a successful transaction.
