About Private Transaction Network
Introducing the Private Transaction Network (“PTN”), founded in 2016 as the first self directed private equity fund of its kind. PTN provides its members with technology and alternative investment opportunities, with a focus on late stage pre-IPO companies. The current pre-IPO market, while bigger than ever, is inefficient… One: There is a lack of liquidity after making an investment as there is a limited secondary market; therefore, it can take years before a liquidity event. Two: There is a lack of transparency and price discovery as investors see different prices depending on who they transact with. Three: A lack of trust. This is the most important issue, especially when buying through structures, as there have been firms caught selling “fake shares”. How does PTN solve these problems? One: PTN's platform provides members with the technology and structure to transact with one another. PTN cannot guarantee that you will be able to buy or sell membership interest, but the mechanism is in place to efficiently transact. Two: PTN operates an efficient marketplace, whereby all members can enter orders to buy and/or sell membership interest. Risk management is strictly enforced. All live orders are firm and the matching of buyers and sellers is done on a price/time priority. Three: PTN has established business relationships with the following entities: -Wakefield Quin provides some of the top legal expertise in Bermuda and their Harbour Financial Services (HFS) division provides fund administration services. PTN is overseen and controlled by HFS. HFS independently verifies all positions on the platform. -Funds are held at the Bermuda Commercial Bank Limited (“BCB”), the only bank in Bermuda focused on commercial, corporate and high net worth clients. HFS confirms and manages all cash movements, deposits and withdrawals.
